This statement is issued by Stephen Dailly t/as Gateway ICT Services, 0ctober 2004.

1. Projects undertaken by Gateway ICT Services are done so based on instructions, information and content provided by each individual customer or client. The sole and entire responsibility for that information rests with the customer or client. All content provided must be supplied in a comprehensible and technically appropriate format.
2. Commensuration of work shall be subject to prior agreement.
   1. Work on any project will commence subject either to the acceptance of a written Proposal or to a mutually agreed Agenda.
   2. Any drafting work undertaken as part of a Proposal shall be at the expense of Gateway ICT Services.
   3. Work on any project shall commence subject to the acceptance of a Quotation of cost.
   4. Such a Quotation shall not be binding.
   5. At any time prior to the completion of work the customer may request a binding Estimate of costs.
3. Gateway ICT Services shall not be liable in any way whatsoever for:
   1. Any damage of any kind (direct, indirect, consequential, incidental or punitive) which results from the use of, access to or inability to use the information contained in any web site or other product which it has designed;
   2. Any errors or omissions in the contents of any web site which it has designed;
   3. Any damage to or viruses that may infect a site visitor's computer equipment, software, data or other property which result from a site visitor's access to, use of or browsing in any site or other product designed by Gateway ICT Services;
   4. Any damage which results from the downloading of material, data, text, images, video or audio from any site or other product designed by Gateway ICT Services;
   5. Any content in any site linked to a site or other product designed by Gateway ICT Services and any resulting damage from a site visitor's access to any such linked site – site visitor's link to any other such sites at their own risk.
4. Each individual client or customer reserves the exclusive right to alter its site content in any way, at any time and for any reason without prior notification and carrying no liability for any consequences of such changes. Should Gateway ICT Services work to any directive from a customer to change the site content then such work is undertaken on the clear understanding that no liability whatsoever relating to such changes is assigned to Gateway ICT Services.
5. Gateway ICT Services will not be responsible for any damage arising from or relating to the use of any web site or other product created by or any goods or services provided by Gateway ICT Services or obtained in any manner through or in connection with any web site. Gateway ICT Services makes no warranties of any kind, expressed or implied for the services it provides.
6. Specifically, Gateway ICT Services makes no claims or guarantees regarding the positioning of its customers' web sites in search engines.
7. Gateway ICT Services disclaims any warranty of merchantability or fitness for a particular purpose. Without limiting the foregoing, Gateway ICT Services shall not be liable for loss of data resulting from delays, non delivery, wrong delivery, or any and all service interruptions caused directly or indirectly by Gateway ICT Services.
8. Gateway ICT Services reserves the right to revise its terms, conditions and charges at any time and without prior notice.
9. Gateway ICT Services shall not be liable to any business for any incidental, consequential, special, or punitive damages or lost or imputed profits or royalties arising out of this agreement or any goods or services provided, whether liability is asserted in contract or tort (including negligence and strict product liability) and irrespective of whether advice has been given of the possibility of any such loss or damage.
10. Terms of payment shall be subject to prior agreement.
    1. Subject to any special terms agreed verbally or in writing between any client and Gateway ICT Services, Gateway ICT Services shall be entitled to invoice the client for the price of work carried out at any time after the completion of the work.
    2. Payment of invoices shall unless otherwise agreed be made in full within 30 days of the date of invoice.
    3. Gateway ICT Services may require full or partial payment of the price prior to delivery or commencement of work or the provision of security for payment by the Client in a form acceptable to the Company.
    4. Gateway ICT Services retain the ownership right of the site structure, graphics and database until such a time that full payment is made by the Client. If for any reason other than that agreed in writing between the Client and Gateway ICT Services full payment is not made, Gateway ICT Services is the sole owner of the site and is free to use the structure, graphics and database elsewhere.
11. Intellectual property, ownership and copy rights are reserved.
    1. Images, graphic designs and text remain subject to the copyrights of their originators.
    2. All the web sites and other products originated by Gateway ICT Services remain subject to the copyright of Gateway ICT Services, which rights are reserved.
    3. Specifically, copyrights to page layouts, graphic designs, stylesheets, coding and scripting is retained by Gateway ICT Services.
12. The provisions set forth above allocate the risks under this agreement between the parties and it is agreed that such allocation and limitation are not unenforceable.
